ADHOC is overseen by a Governing Board as well as a Management Committee (MC). Their roles are defined in ADHOC’s organisational statutes.

The Governing Board
ADHOC is overseen by a board of directors, called governing body, the roles of governing body are defined in the organizational statutes. The Board comprises of Four members, of whose members are assigned as Board Chairman, vice-chair or treasurer, and the rest are board members. The board of directors is the highest decision making authority body. The Board works to support management and staff in achieving the goal and objectives of the organization and its programs. Governing body meets at least twice a year and fulfils its functions, including strategic direction, hiring of executive leadership, recruitment of new members of governing body, and financial oversight (also see the organizational statutes for more detail about role and responsibility of board members).

The Management Committee (MC)
The Management Committee (MC) is the internal decision-making body with ADHOC, with responsibility to ensure that all programs, operational and financial matters are conducted efficiently and effectively. This includes tasks such as coordination of activities, decisions about staff recruitment, liaison with all ADHOC’s stakeholders, and to make a fund raising. Advisors and other Technical Experts can be invited by MC but do not have voting rights.
Members of the MC must work together to provide overall leadership across sections, whilst also managing their own section’s strategic and operational matters. The MC structure may change over time resulting from, staff turnover, or structure changes. It is the responsibility of the President to ratify new MC members, in consultation with the MC. Other ADHOC staff or board members may be asked to join MC meetings from time to time as required. However, their role is to provide input and information that the MC requires, not to be involved in the decision-making processes within the MC.
The Management Committee is comprised of five members (President, Secretary General, 3 Heads of Section such as the Human Rights and Land Rights, Women’s and Children’s Rights, Finance and Administration). The Management Committee is convened at least twice a month. The Management Committee makes decisions by consensus. If consensus is not possible, a 50%+1 majority is required for Management Committee decisions to be binding (also see the term of reference of MC for more detail about role and responsibility of MC members).
